In a significant move within the cybersecurity sector, Proofpoint has announced an agreement to acquire data and AI security company Varonis for approximately $6.3 billion in cash. This landmark acquisition was disclosed by the two companies on Thursday, marking the largest cybersecurity deal of 2026.
Details of the Acquisition
Varonis shareholders are set to receive $49.75 per share, representing a 52% premium over the stock’s closing price of $32.71 on June 22, 2026. This offer came following speculation about a potential sale. The transaction is anticipated to be finalized in the first half of 2027, with financial backing from Thoma Bravo, Proofpoint’s owner, and the Ontario Teachers’ Pension Plan, which is investing in Proofpoint as part of this agreement.
Operational Plans Until Closure
Until the acquisition is completed, both Proofpoint and Varonis will continue to function as separate entities. Once the deal is finalized, Varonis will transition to a private company. Varonis is known for its SaaS data security platform, which identifies and classifies sensitive data across various systems and monitors access and usage patterns. Its Atlas solution is particularly notable for its comprehensive AI system management, including security testing and compliance reporting.
In addition to data security, Varonis offers products for email and browser security, as well as managed data detection and response services. Proofpoint, on the other hand, is renowned for its email security solutions designed to counteract phishing, business email compromise, ransomware, and malware threats, extending protection to messaging applications and cloud accounts.
Strategic Integration and Future Outlook
Upon completion of the acquisition, Proofpoint intends to merge the capabilities of both companies to create a unified data and AI security platform. Earlier this year, Proofpoint expanded its portfolio by acquiring AI security and governance firm Acuvity. Concurrently, Varonis enhanced its offerings by acquiring AllTrue.ai, a provider of AI trust, risk, and security management solutions, for $150 million.
As the cybersecurity landscape continues to evolve, this acquisition highlights the ongoing consolidation trend within the industry. To date, SecurityWeek has tracked over 300 cybersecurity mergers and acquisitions in 2026 alone, underscoring the strategic importance of such deals.
